By accessing or using the website https://cobaltvisions.com (“Website”) and/or any services provided by CobaltVisions Holdings, LLC (“we”, “us”, “our”, or “CobaltVisions”), you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree with these Terms, do not access or use the Website or our services.

Services
CobaltVisions provides business development consulting, investment management, and operational excellence.

6.1. The term of your engagement for Services begins on the date specified in your service agreement (or as otherwise agreed).
6.2. Either party may terminate in accordance with the terms of the service agreement.
6.3. Upon termination, you shall pay for all Services rendered up to the date of termination.
6.4. Some provisions of these Terms (e.g., indemnification, limitation of liability, confidentiality) survive termination.

Client Obligations & Cooperation
You agree to:

7.1 Provide accurate, current, and complete information as required.

7.2 Cooperate in good faith with CobaltVisions, including granting access to systems, personnel, and information required to deliver Services.

7.3 Comply with any legal, regulatory, or security requirements applicable to your business.

Intellectual Property
8.1. All intellectual property rights in the Website, documentation, materials, software, tools, and processes used by CobaltVisions remain our property (or our licensors’).
8.2. You are granted a limited, non-exclusive, non-transferable license to use deliverables provided by CobaltVisions solely for your internal business purposes, subject to full payment.
8.3. You retain ownership of your data, systems, and business content you provide.

Confidentiality
9.1. “Confidential Information” means non-public information disclosed by one party to the other in relation to the Services.
9.2. Each party shall keep the other’s Confidential Information confidential and not disclose it to third parties, except as required by law.
9.3. Confidentiality obligations survive termination of the Agreement.

Warranties & Disclaimers
10.1. CobaltVisions warrants that it will perform Services in a professional and workmanlike manner, consistent with industry standards.
10.2. Except as expressly provided, CobaltVisions makes no other warranties, whether express, implied or statutory, including warranties of merchantability or fitness for a particular purpose.
10.3. Your use of the Website and Services is at your own risk. The Website and Services are provided “as is” and “as available.”

Limitation of Liability
To the maximum extent permitted by applicable law:

11.1 In no event shall CobaltVisions (or its officers, directors, employees, agents) be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (e.g. loss of profits, data, goodwill).
11.2 CobaltVisions’s total liability arising under or in relation to these Terms or the Services shall not exceed the amount you have paid to CobaltVisions under the applicable service agreement during the prior twelve (12) months.

Indemnification
You agree to indemnify, defend, and hold harmless CobaltVisions (and its affiliates, officers, agents, employees) from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising from your (i) misuse of the Services or Website, (ii) violation of these Terms, or (iii) infringement of a third party’s rights.

Compliance with Laws & Export Control
You will comply with all applicable laws, regulations, and rules (local, state, national, international) including export control laws. You shall not use our Services to violate any proprietary or privacy rights or export laws.

Changes to Terms
We may modify these Terms at any time. When we do so, we will post the revised Terms on the Website with a new “Last updated” date. Your continued use of the Website or Services after changes indicates your acceptance.

Governing Law & Dispute Resolution

Entire Agreement
These Terms (together with any service agreement, Schedules, or exhibits) constitute the entire agreement between you and CobaltVisions relating to the subject matter and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
